These Terms of Service ("Terms") govern your use of the services provided by Ephyronix Comms Ltd ("Company," "we," "us," or "our") located at 250 University Ave, Toronto, ON M5H 3E5, Canada. By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree to all provisions of these Terms, you may not use our services.
Ephyronix Comms Ltd provides satellite connectivity solutions and related telecommunications services ("Services") designed for Canadian enterprises. Our Services include satellite network access, bandwidth allocation, technical support, and related infrastructure services as detailed in your service agreement or order confirmation.
Service specifications, features, and availability are subject to change at our discretion with reasonable notice. Current service terms are available upon request at tech@ephyronix.bond or by calling +1 416 597 0054.
Account Creation: To use our Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Authorized Users: You agree to use the Services only for authorized business purposes. You must ensure that all individuals accessing the Services through your account are authorized and comply with these Terms.
Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms, engage in illegal activity, or fail to pay applicable fees. Termination will not relieve you of payment obligations for services already rendered.
Fees and Charges: You agree to pay all fees and charges associated with your account according to the pricing schedule provided. Fees are exclusive of applicable Harmonized Sales Tax (HST) and other taxes, which you are responsible for paying.
Billing Cycle: Invoices are issued according to your service agreement terms, typically monthly. Payment is due within 30 days of invoice date unless otherwise specified.
Late Payment: Failure to pay charges when due may result in suspension of services, late fees as permitted by law, and interest charges at the rate of 1.5% per month or the maximum allowed by applicable law, whichever is lower.
Price Changes: We reserve the right to modify fees upon 30 days' written notice. Continued use of Services after the notification period constitutes acceptance of new pricing.
Service Commitment: While we strive to provide reliable service, we do not guarantee uninterrupted or error-free service. Services may be interrupted for maintenance, system upgrades, or circumstances beyond our reasonable control.
Scheduled Maintenance: We will provide reasonable notice of scheduled maintenance windows. Maintenance is typically performed outside business hours when feasible.
Service Level Guarantees: Specific Service Level Agreements (SLAs) may be defined in your service agreement. Credits or remedies for SLA breaches are limited to those expressly stated in your agreement and do not constitute a waiver of other rights or remedies.
You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited uses include, but are not limited to:
We reserve the right to monitor for violations and take immediate action, including service suspension or termination, without liability.
Company IP: All software, hardware infrastructure, documentation, and materials provided by Ephyronix Comms Ltd remain our exclusive property. You receive a limited, non-exclusive, non-transferable license to use the Services for your authorized business purposes only.
Your Content: You retain ownership of any data, content, or information you transmit through our Services. You grant Ephyronix Comms Ltd a limited license to process, store, and transmit your content solely to provide the Services. We will not use your content for any other purpose without express consent.
Disclaimer: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPHYRONIX COMMS LTD'S LIABILITY FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Excluded Damages: IN NO EVENT SHALL EPHYRONIX COMMS LTD BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Ephyronix Comms Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or liabilities arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your infringement of any third-party intellectual property rights; or (d) any illegal activity conducted through your account. This obligation includes attorneys' fees and costs incurred in defense.
Privacy Compliance: Our collection and use of personal data is governed by our Privacy Policy, which complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
Data Security: We implement reasonable technical and organizational measures to protect your data from unauthorized access, alteration, or disclosure. However, no security system is completely secure, and we cannot guarantee absolute data protection.
Data Retention: We retain data only as long as necessary to provide Services or as required by law. You may request deletion of your data subject to legal retention requirements and ongoing service obligations.
Each party agrees to maintain the confidentiality of the other party's proprietary information and to use such information solely for the purpose of performing obligations under these Terms.
Confidentiality obligations do not apply to information that: (a) is publicly available; (b) was rightfully received from a third party without confidentiality obligations; (c) is independently developed; or (d) is required to be disclosed by law or court order, provided we provide reasonable notice when legally permissible.
Initial Term: Service agreements commence on the activation date and continue for the term specified in your agreement unless terminated earlier.
Renewal: Services may automatically renew at the end of the initial term unless either party provides written notice of non-renewal at least 30 days prior to expiration.
Termination for Cause: Ephyronix Comms Ltd may terminate immediately if you breach these Terms, engage in illegal activity, or fail to pay charges.
Termination for Convenience: Either party may terminate with 30 days' written notice. Upon termination, all outstanding charges remain due, and you are responsible for retrieving your data within 30 days.
We reserve the right to modify these Terms at any time. Material changes will be provided with at least 30 days' written notice. Continued use of Services following notification constitutes acceptance of modified Terms. Your exclusive remedy for disagreeing with modified Terms is to terminate your account.
Our Services may integrate with or reference third-party platforms, services, or content. Ephyronix Comms Ltd is not responsible for third-party services and their terms, privacy practices, or performance.
Any links provided are for convenience only. We do not endorse third-party content and are not liable for damages arising from your use of third-party services.
You agree to comply with all applicable federal, provincial, and local laws and regulations in your jurisdiction. Ephyronix Comms Ltd reserves the right to refuse service in jurisdictions where provision of Services would violate applicable law.
The Services and related technology are subject to Canadian export controls. You agree not to export or re-export Services or related materials to countries under embargo or to prohibited parties as defined by Global Affairs Canada.
Informal Resolution: In the event of a dispute, you agree to first contact us at tech@ephyronix.bond or +1 416 597 0054 to attempt informal resolution within 30 days.
Governing Law: These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles.
Jurisdiction: Both parties agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any legal proceedings arising from these Terms or the Services.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall remain in full force and effect.
These Terms, together with any executed service agreement, privacy policy, and SLA, constitute the entire agreement between you and Ephyronix Comms Ltd regarding the Services and supersede all prior negotiations, representations, and agreements, whether written or oral.
